Enterprise technology services (software development, consulting, etc.) are provided under separate service agreements that define scope, deliverables, timelines, and fees. These Terms apply in addition to any specific service agreement.

5.2 Intellectual Property

Unless otherwise agreed in writing:

• We retain ownership of our proprietary tools, methods, and pre-existing materials
• Client-specific deliverables are assigned to the client upon full payment

11.3 Third-Party Merchants

We are not responsible for the quality, safety, or legality of goods or services provided by participating merchants. Disputes with merchants should be resolved directly with the merchant.

12. Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim arising from these Terms or your use of our services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim

You agree to indemnify, defend, and hold harmless Onxtra and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

14. Termination
